5.10 Main differences IFRS / Lux GAAP – Commercial entitiesInscription

The session is about the key differences between IFRS and Lux GAAP applicable to commercial and industrial companies. This does not attempt to capture all the differences that exist, but the focus will be on variations that are commonly found in practice in commercial and industrialcompanies such as:

  • Financial statements presentation and disclosures differences, with illustrative examples;
  • Selected accounting differences that impact the financial performance of commercial and industrial companies (e.g. revenue recognition, goodwill, trade receivables, borrowing costs, provisions / contingent liabilities, high-level consolidation requirements, etc.);
  • Case studies to illustrate the impacts from transitioning from Lux GAAP to IFRS.

A presentation of the most recent normative updates is included in the sessions.

The session is about methodologies, requirements and best practices to perform to audit consolidated financial statements under Lux GAAP and IFRS. After attending this course, participant will be able to:

  • Understand the main significant audit risk in relation with consolidated financial statements;
  • Understand the main difficulties the auditors could face, including non-matching of the closing dates, limited access to the component auditors and different accounting methods among the group;
  • Understand the relationship between the group auditors and the component auditors;
  • Identify the component entities to select for the audit of the information included in the consolidated financial statements;
  • Understand the requirements in relation with the materiality calculation;
  • Understand the nature of work to be performed to address the risk identified at the consolidated level;
  • Be aware of the communication requirements and Long Form expectations.

The training is mainly about the normative and legal aspects: it will be also the opportunity to have open discussions between professionals.

7.3 Prévention du blanchiment et du financement du terrorisme - Nouveautés et évolutionsInscription

Elle s'adresse à toute personne ayant une connaissance des règles fondamentales en matière de lutte contre le blanchiment d’argent et contre le financement du terrorisme désirant acquérir des notions approfondies en la matière.


Objectifs :
A l’issue de la formation, les participants :

  • Connaîtront les évolutions et grandes tendances actuelles liées aux questions LBC/FT ;
  • Pourront mesurer l’impact de ces évolutions sur leurs pratiques internes ;
  • Auront mis à jour leur compréhension des principales infractions primaires.


Contenu :
Présentation des développements récents tels que :

  • Les développements législatifs suivants :
    1. les modifications apportées à la loi du 12 novembre 2004 relative à la lutte contre le blanchiment et contre le financement du terrorisme (lois du 25 février 2021 et du 20 mai 2021).
    2. la mise en œuvre de la loi du 10 juillet 2020 instituant un Registre des fiducies et des trusts.
    3. la loi du 17 décembre 2021 portant notamment modification du Code pénal.
  • L’évolution des bonnes et moins bonnes pratiques LBC/FT sur la base de l’expérience des pratiques de la place, de la jurisprudence, des derniers rapports d’activité de la Cellule de Renseignement Financier et du rapport annuel de la CSSF.
    1. Impact des développements récents et à venir dans ce domaine des standards LBC/FT internationaux ou européens, évolutions règlementaires et prudentielles ou encore des recommandations faisant autorité dans l’industrie.
    2. Sanctions internationales.
  • Nouvelles obligations en matière de LBC/FT suite à l’introduction de nouvelles catégories d’infractions primaires (présentation des infractions primaires en matière de fraude fiscale, obligations pour les réviseurs d’entreprises en découlant, application dans le temps de ces obligations, nouveaux indices de blanchiment d’argent, sanctions encourues).


Cette formation prend en considération la norme NP2021-25.

Le contenu de la présentation est susceptible d’évoluer pour tenir compte d’éventuelles évolutions législatives ou réglementaires à venir ou pour tenir compte des mesures de transposition prises en droit luxembourgeois.

      • analyze, via concrete examples, the consequences of an acquisition performed by steps ("step-acquisition");
      • a situation to consolidate companies using different currencies;
      • a full and complete example of a first consolidation;
      • Have a case study in relation with the estimation of the non-controlling interest during a first consolidation.

The training will be an interactive sessions and an open discussion on the above mentioned cases.
